Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Trade OS Inc. ("Trade OS," "we," "us," or "our"), governing your access to and use of the Trade OS platform, including all associated websites, applications, APIs, and services (collectively, the "Platform").

By creating an account, accessing, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Platform.

To use Trade OS, you must meet the following eligibility requirements:

• Be at least 18 years of age (or the age of majority in your jurisdiction)
• Have the legal capacity to enter into binding agreements
• Not be prohibited from using the Platform under applicable laws or regulations
• Provide accurate, complete, and current registration information
• Comply with all applicable securities, financial, and trading regulations in your jurisdiction

You are solely responsible for maintaining the confidentiality of your account credentials, including API keys and exchange connections. You agree to immediately notify us at security@gettradeos.com of any unauthorized use of your account.

Trade OS is an AI-powered trading platform that provides tools for strategy backtesting, multi-exchange portfolio management, signal generation, and analytics. The Platform includes:

• AI-driven trading signal analysis and strategy recommendations
• Historical backtesting engine with multi-timeframe support
• Multi-exchange connectivity (Binance, Coinbase, Kraken, and others)
• Portfolio analytics, risk metrics, and performance tracking
• Automated strategy execution via exchange API integrations
• RESTful and WebSocket API access for programmatic trading

You agree to use the Platform only for lawful purposes and in accordance with these Terms. You shall not:

• Use the Platform to engage in market manipulation, wash trading, spoofing, or any form of fraudulent trading activity
• Reverse-engineer, decompile, or disassemble any portion of the Platform or its AI models
• Attempt to circumvent rate limits, access controls, or security measures
• Share, resell, or sublicense your account access or API credentials
• Use the Platform in violation of any applicable securities laws, anti-money laundering regulations, or sanctions
• Interfere with or disrupt the Platform infrastructure or other users' access
• Scrape, harvest, or collect data from the Platform beyond authorized API usage

Trade OS offers the following subscription tiers:

Paid subscriptions are billed monthly or annually in advance. All fees are non-refundable except as required by applicable law or as otherwise stated in these Terms. We reserve the right to modify pricing with 30 days' written notice. Continued use after a pricing change constitutes acceptance of the new fees.

Trade OS does not charge commissions on trades executed through connected exchanges. Exchange fees, network fees, and any other third-party charges are your sole responsibility.

Trade OS provides API access and exchange connectivity subject to the following conditions:

• API rate limits vary by subscription tier and are enforced per account
• Exchange API keys are encrypted at rest and in transit; you are responsible for configuring appropriate key permissions on your exchange accounts
• We are not liable for any actions taken by exchanges, including but not limited to order rejections, account freezes, or liquidations
• You must ensure your exchange API keys grant only the minimum permissions required (e.g., read + trade, not withdraw)
• Automated trading via the API is at your sole risk; you are responsible for monitoring strategy performance and managing risk parameters

Your Data: You retain full ownership of your trading data, strategies, portfolio configurations, and any content you upload to the Platform. We claim no ownership over your data.

License Grant: By using the Platform, you grant Trade OS a limited, non-exclusive license to process your data solely for the purpose of providing the services. We may use anonymized and aggregated data to improve our AI models and services, as described in our Privacy Policy.

Our IP: The Platform, including its AI models, algorithms, software, design, and documentation, is the exclusive property of Trade OS Inc. and is protected by intellectual property laws. Nothing in these Terms transfers any ownership interest to you beyond the limited right to use the Platform as described herein.

You may terminate your account at any time through the Platform settings or by contacting legal@gettradeos.com. Upon termination:

• All exchange connections will be immediately disconnected
• Active automated strategies will be halted; open positions will NOT be automatically closed — you must manage them directly on your exchange
• You may export your data for up to 30 days following termination
• After the 30-day grace period, your data will be permanently deleted in accordance with our data retention policy

We may suspend or terminate your account immediately if you violate these Terms, engage in prohibited activities, or if required by law. We will provide notice where reasonably possible.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TRADE OS INC. SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Trading losses or lost profits resulting from use of the Platform, AI signals, or backtesting results
• Losses due to exchange downtime, API failures, or order execution issues
• Losses arising from unauthorized access to your account
• Losses from reliance on market data, price feeds, or analytics provided by the Platform
• Any indirect, incidental, or consequential damages of any kind

Our total aggregate liability for any claims arising under these Terms shall not exceed the amount you paid to Trade OS in the twelve (12) months preceding the claim.

These Terms shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.

Any dispute arising from or relating to these Terms or your use of the Platform shall be resolved through binding arbitration administered by the ADR Institute of Canada in Toronto, Ontario. The arbitration shall be conducted in English by a single arbitrator.

Notwithstanding the foregoing, either party may seek injunctive or equitable relief in any court of competent jurisdiction in Ontario, Canada, to protect its intellectual property rights or to prevent irreparable harm.

We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before they take effect. Your continued use of the Platform after the effective date constitutes acceptance of the updated Terms. If you disagree with any changes, you must stop using the Platform and close your account.
